Technically, they did file an 8K when they disclosed that they submitted the paperwork. See slide 10 of the presentation that they filed with an 8K on Aug 3.
But they wouldn't have been required to as it wasn't a material event.
And they will let shareholders know as soon as they have a definitive yes or no from Nasdaq. It will be a very material event either way.
