It's easy for us (me) to say this is a no-brainer,

Both companies were litigating over $1.7B in damages. Could have been $1.3B but to tell you the truth, in all this excitement, I've kinda lost track myself. I posted before the legal documents with the numbers a few times. It's not like they were battling over $200M IP, which would still be significant, but this was much larger.
If I had $100M, I'd thrown it into developing ESS & MANF with the expectation of the market value of my investment would be at least 2x shortly after making the deal and that's without doing anything. The mistake would be to invest $1M as it might not show enough confidence.
ESS is already proven. How many opportunities come along in the bio world where you actually know it works? Very few.
The monday morning arm chair quarterback in me is thinking the company may not have had the relationships with the large pharma companies to get the attention and investment they need. Not easy to do when there are 1000's of others banging on their door as well.
Maybe their business model coulda, shoulda been, sell everything for double what you paid vs. looking for the home run. Although, who doesn't like a home run?
