You have it right. The 9 million shares in that S-1 was based on $2 per share if i remember correctly. Therefore if the pps declines to .50, which isn't far from here, that original 9 million will be 36 million pushing us over the AS count.

But obviously I will vote yes on the AS increase....since I don't have a choice.
