Qualifications

Internal and external personnel will manage a systematic due diligence process. The Company will use a proprietary due diligence checklist, modified on a case-by-case basis to reflect various local jurisdiction considerations. E-Waste Systems, Inc. head of legal operations, Peter Munday, will closely monitor the due diligence teams to ensure that information acquired in the due diligence process will be properly utilized in crafting definitive sale and purchase agreements. No acquisition will close without approval of the Company's board of directors. The Company's due diligence reports will contain both historical analysis and forecast performance.

Due diligence will focus on three areas:

Commercial

All aspects of the target's commercial activities: revenue generation, customer base, product and services offering, supply chain management, etc. The senior E-Waste Systems, Inc. executive with the most relevant knowledge of the type of business being acquired will direct this stage of diligence.

Legal

A qualified lawyer retained by the Company (not by the target) and overseen by Mr. Munday will carefully examine all material legal aspects of each target.

Financial

The Company's auditors or team of retained accountants will review historical practices and results achieved, assess sufficiency for working capital, and create or review two-year financial forecasts.
