The shareholders of record refers to shareholders whose names are registered with the company's transfer agent. So people or institutions that have participated in offerings along with insiders or people that used to be insiders that still hold shares. Shares that were issued to them by the company through the transfer agent.

Us retail folks typically have our shares held in the name of our brokerages, known as being held under a street name. Since our shares are held through the street name and not our individual names we aren't shareholders of record. The number of shareholders of record for a public company is always going to be smaller than the total amount of shareholders.

I've been a shareholder of record for another company but when I had my shares transferred from the transfer agent to my brokerage, those shares became held in the brokerage's street name so were no longer in mine and I dropped off the shareholders of record list.
