March 3rd David filed the "Management Certification," explicitly stating The Company is duly organized and in good standing under the laws of the state or jurisdiction in which the Company is organized or does business.
If David tells OTC Markets, Univec never done any business in MD, he'll have to explain why the corporate office is in MD, where the revenue came from, then produce invoices customers, vendors data, from the jurisdiction where the business had taken place.
If OTCM agrees with the Information End of Story.. If not!!!!
Univec's Maryland branch (Foreign Corporation status) has been forfeited since 2007.
Under Maryland Code 7-301, a foreign corporation doing business without a valid registration has no legal standing.
(OTCM) uses these certifications to satisfy SEC Rule 15c2-11. This rule requires "Adequate Current Information" to be available for a stock to be quoted by brokers.
FACT: Unless Univec produces a Maryland Certificate of Good Standing dated after March 3rd, the certification is objectively false.
David has no choice but to correct it or face an inevitable downgrade. This is something not even OTCM wants, I certainly don't.
Estimated Cost around $15k
This was one good thing when OTCID was introduced last year, With the M-C it is easier for Pink Entities to get needed backing, investors with $$$ want just turn up their nose,
Univec is becoming a legitimate company, be-it-slowly, this is my hope for the janitors, waitresses, self employed, 9 to 5 everyday workers who may be invested.
Attorney Letter (due by April 30) is the final gate. No ethical lawyer will sign a letter confirming that March 3rd MC unless they see a fresh Certificate of Good Standing from Maryland. Every year since 2021 the attorney opinion letter has been posted within (3) days of the annual report filing. Hopefully the delay is because David is taking steps to correct this.
OTCM will send David/Donald Keer a delinquent letter, then they have usually (30) days to produce a MD Certificate of Good Standing.
It was over-looked last year by OTCM I'm afraid it want this year.
The MDSDAT even state that Univec Inc (F07298094PL) isn't a branch....
