Warrant holders have the right, not the obligation, to exercise their warrants. The issued warrants have a specific price and a specific date through which they can be exercised before they expire.
For example, a warrants at 50 cents that expires on August 20, 2027 entitles the holder to pay 50 cents and then that one warrant that would then become one share of CYDY.
Of course no one with such a warrant would choose to pay 50 cents for one share this month so they would just keep holding it until it gets closer to the expiration date hoping that the share prices goes way above 50 cents at which point paying only 50 cents for the share makes financial sense.
In order to try to raise money now, CYDY made a tender offer to warrant holders that was in the SEC filing you quoted. By offering to reprice the warrants at the lowest of the price on May 31 (which was 16 cents) or 70% of the 5 day avg VWAP (Volume weighted average price) prior to June 30th or the one day, VWAP on June 30th, they are hoping that this lower price will entice many of the warrant holders to convert their warrants into shares early by paying this lower price.
This in my opinion this is a good deal for warrant holders especially if they have new money on the side to pay to execute the warrants at the new lower price even though they have to pay the money much sooner than the original expiration date. As I have stated many times today, it doesn’t make sense to sell shares of CYDY at 14 sense if there is a chance that the share prices rises next week and the lowest price in fact becomes the 16 cents.
