The SEC investigates this stuff no matter the amount gained or lost - Cytodyn was being watched like a hawk. We thought it was over short sellers manipulating the SP, which likely was/is happening. But the SEC was really watching Nader and Kaz. I remember Nader being asked about a rumored SEC investigation, his response was always that it was not a big deal.
Nader was questioned many times in the past why he does not buy shares on the open market in support of the company. His response is always that there is certain windows where he can buy and they have to be scheduled so it does not look like insider trading. I guess he will need to show that he did excersize his options in that window and did notify the SEC well in advance. I don't think he did, as he explained the transaction as a desperate move to raise funds for a Samsung invoice.
