I had wondered about that too. But, there were other proposals on the ballot, the ratification of the accountant, the approval of the salary structure and maybe the 200M share increase proposal. I am not sure that the last one made it to the 13D proxies or not.
But, the non-director votes should count in the totals, but I am not certain.
