If so, isn't that position inconsistent with his position he disclaims ownership of them?
And, here this question gets more interesting:
If he disclaims beneficial ownership to the shares, how can he vote them? Isn't voting the shares inconsistent with disclaiming ownership?
I don't know much corporate law, but how is this for a possibility at the upcoming shareholder meeting?:
BP: I vote my xxxx shares for the 13D slate.
Management: But, you don't have xxxx shares, you disclaimed ownership of 596,242 shares.
BP: But, I want to vote them all now.
Management: The votes will be counted as xxx for 13D and 596,242 shares will be counted as non-votes as having not been properly voted.
What am I missing here? Isn't disclaiming ownership going to cause the 13D group to lose 1/2 a million votes?
