My understanding is that the Form 10 takes 60 days before it is effective. An S-1 can take 60-90 days before the SEC deems it effective. Even companies that are currently registered with SEC, an S-1 takes a month or two before it is deemed effective. Once effective, EP can start raising money. You are looking at late July at the earliest.
