Is $NEOM the $NEOM COMPANY?
Today I have put together what I believe will be the likely action (s) on how exactly the NEOM company will merge from the defunct NeoMedia technologies ashes.
So the NEOM company has 89M in revenues per D&B
The NEOM COMPANY is a closed joint stock company. Per Saudi regulations all companies who want to list on the tadawul exchange must be in this category.
My initial thought was the company would need to list on the Tadawul Saudi Arabian exchange first. After contemplating a dual listing ADR (American Depository Receipts) scenario with the OTC markets shell, i realized that it seemed to complicated and lengthy of a process for now. I do believe that this process will happen at some point but not on the Tadawul.
The NEOM COMPANY is backed by the Saudis 500B public investment fund. A fund used to build the kingdoms wealth through various projects. The fund can be relative to the US government funding projects here. Hence, no reason for them to raise capital in Saudi Arabia.
To reiterate the YA Global form 4 equals the shell debt of NeoMedia filing back in 2016 & has 50 investor members the maximum of a joint stock company.
My guess is 51% are Saudi investors (very important) while other contributors can include American investors (YA Global) as well as others.
OK so now how can these groups merge. This is not going to be a typical OTC merger. We will not see the old NeoMedia technologies Delaware registrant be revived or the typical OTC annual filings from years past or an attorney letter!
Now Looking at the definition of a closed joint stock company it is stated that a private foreign entity does not need to report to the SEC. Well the NEOM company is a foreign private entity!
OK my next step was to find an SEC form which would allow the transactions.

By Going through each definition. The forms that pop out to me are form F-3 F-4, F-6, & F-6EF
Neom fam (cult) whatever your designation is.
DRUM ROLL
They will register as a private foreign Issuer on the OTC markets via F-3 or F-4 using $NEOM. These shares will be registered with the SEC and lack the scrutiny of the the SEC burdensome regulations. This will work because it is a foreign company with ties to the US.
What insider transactions/acquisitions have taken place. Much press has been released over the past few months regarding partnerships & joint ventures. Undoubtedly this is a huge undertaking with many pitfalls as Muhammad bin Salman pushes the limits of human ingenuity.
The only variable is timing, however I believe we are very close as press releases ramp up.
Many questions are still left unanswered, however I can reassure the offering will be much higher than the price of .0015.
I believe that additional ADRs ADS share offerings will be brought through F-6 filings. Prices will vary but I'm sure they will want to raise billions of dollars. These listings will appear in Europe, Australia, China ectera under the countries exchange procedures, but be assured that it will be multi listed & have a greater Liquidity pool which will increase prices over time. Likely dividends will be issued to sustain support as profits grow.
NEOM is a huge global endeavor to redefine the future of the world.
Many questions arise in my mind about the SS and will it look anything like what we see on OTCmarkets. The entire entity has been restructured so I will elaborate further in due time what price points may make sense along with ADR ADS processs
I hope this was enough to stimulate everyones pallet as this is the most likely path to wealth via $NEOM
