Dear Emerald Organic Products Inc. (OTC: EMOR) (the “Company”, “Emerald Organic”, or “Emerald Organic Products”) Shareholders,
As many of you are aware, these unprecedented times have brought forth unprecedented opportunities for the Company.
On March 27th, 2020, Emerald Organic Products announced that it signed a Plan of Merger Agreement to acquire a 51% controlling interest in Bonsa Health, a digital pharmacy platform enabling same-day delivery of prescriptions anywhere in the United States. Days later, on March 31st, 2020, Emerald Organic Products announced that it entered into a definitive agreement to acquire 100% of Carie Health, a leading telehealth and virtual care technology and service solutions company.
To reflect its unification and integration of Bonsa Health and Carie Health, as well as its positioning as a disruptive healthcare technology company that defragments and democratizes health and wellness through its end-to-end ecosystem, the Company is in the final stages of changing its name to Carie Health, Inc. (“Carie”). It goes without saying that we expect our legacy consumer packaged good (“CPG”) operations to play a key role in delivering additional value to the end-users in our ecosystem.
Anticipating total completion of this name change in the very near future, I’m pleased to announce that the Nevada Secretary of State has already approved the name change from Emerald Organic Products Inc. to Carie Health, Inc., and that the Company has submitted the necessary paperwork to FINRA to ensure this is reflected in our stock as soon as possible.
One of the biggest challenges with the healthcare sector is it’s deep and extensive fragmentation. Patients trying to complete one action or procedure are forced to interact with multiple entities including hospitals, insurers, providers, Rx programs, virtual care, second opinion consultations, and in home care. Often this requires redundant and frustrating actions for the user who rightfully feels that scheduling, receiving, and paying for care should be a simple experience. Carie’s approach is to take the entire chain of care, and wrap it all into one user-centric technology. By creating a simple to use and access platform, we become the preferred partner to the provider, patient, pharmacist, and payor .
Put simply, Carie’s objective is to build, as well as acquire, technology that touches people at the most important points of their lives. To ensure a positive long-term experience with Carie, we are combining all point of care disciplines in one collaborative environment for the benefit of all ecosystem participants including patients, physicians, payors, and pharmacists.
This current health crisis has made us all acutely aware that accessibility and affordability of quality healthcare and health products is not a constant in this country. Democratizing health and wellness through modernization and innovation is at the core of that objective. Our ecosystem’s combination of virtual care capabilities and digital pharmacy and prescription delivery together uniquely positioned Carie to meet this demand.
In furthering this objective, Carie has entered into a Letter of Intent to acquire a network of strategically positioned pharmacies to enhance Carie’s prescription drug delivery capabilities while further defragmenting the healthcare vertical. Furthermore, Carie’s strategic acquisition target currently generates annual revenues greater than $120 million, thereby enhancing the Company’s financial position. Top line revenues as well as the profit margins on these revenues are expected to be enhanced by integration into the Carie ecosystem.
Carie is completely committed to continuing to build the most complete healthcare ecosystem to encompass and optimize the entire chain of care, extend customer and patient engagement, and increase immediate and long-term value to every participant within the ecosystem.
In building this ecosystem, I am very proud to be working alongside so many talented people. Carie has united experts in medicine, marketing, technology, IP, pharmacy, regulations, insurance, benefits, patient advocacy, logistics and more. What Carie has accomplished to date is no small achievement and could not have happened without our dedicated team working day and night.
To that end, Carie continues to explore additional ways that it can add value to its ecosystem, and looks forward to what’s on the horizon.
