Can they be outbid by another company if they don't? And if they are exclusive, do they pay a penalty if they walk away from the deal?
Otherwise, if they have exclusivity and can walk away without penalties, they are basically locking up the buy side and preventing SFOR from selling the patent to another entity for 3 more years. And give up nothing in return.
It seems like they might be waiting to see if their net from the software is over $1M for the years 2020-2021, or 2021-2022, which makes the additional costs worthwhile, or if not, they walk.
p.s., I think $10 or $11 or $12M for this patent is cheap, I'd be curious as to who assessed its value at that.
