You're right. PPS has nothing to do with it; up, down or sideways. It's all about the shares issued and once they burn them off, they're done.
There are terms though as far as when they can sell them. The general terms are outlined in the 144:

Rule #1 doesn't apply since they were issued unrestricted.
Interesting enough, Rule #2 WOULD apply but funny thing is, ONCI wasn't "Current" until just recently. And now we probably know why Steve took his time in getting it done (speculation on my part).
Rule #3 is probably why conversion is taking so long. They can only sell 1 pct of volume. Also, rule #3 is why you see the most of the conversions (and PPS drop) occur on Friday...average of weekly trading volume.
Rule #4...who cares.
Rule #5...not affiliated...who cares.
