Alfred H. Falk
President, CEO
Mr. Falk joined e.Digital in 1995 as Vice President of Corporate Development / Vice President OEM & International Sales. Mr. Falk was appointed President and Director of e.Digital in January 1997 and on July 1, 1998 he was appointed Chief Executive Officer. On July 1, 2004 Fred Falk stepped down as the Company’s president and chief executive officer to serve as vice president of corporate development over the Company’s personal video technology platform and was brought back into the CEO position in Jan 2009. Before joining e.Digital, Mr. Falk served Resources Internationale as Director of U.S. Sales from 1993 - 1995. For the eight years prior to 1993, Mr. Falk was the Manager of OEM Sales and Technology Licensing for Personal Computer Products, Inc. From 1978 - 1988, he held several management positions at DH Technology and was instrumental in its successful start-up. Mr. Falk attended Palomar College in San Marcos and Foothill College in Los Altos, California.
Allen Cocumelli

Allen Cocumelli has served on e.Digital's Board of Directors since 1999, and previously served as its Chairman from April 2000 to November 2002. Mr. Cocumelli currently serves as Chief Operating Officer and general counsel for Simple Network Communications, Inc. (SimpleNet), a subsidiary of broadcast.com, which was acquired by Yahoo! Inc. in 1999. Allen Cocumelli has served as Simple Network's corporate counsel since its inception in 1996, and joined their management team in 1997. Mr. Cocumelli's background also includes seven years at Intel Corporation as a manager in the Components Manufacturing Group and as Director of Corporate Training and Development. His activities at Intel included the start-up of four manufacturing facilities, the implementation of a corporate-wide training development system and management responsibility for over 300 employees in four domestic and overseas locations. Mr. Cocumelli holds a B.S. in Industrial Psychology from UCLA and a law degree from Thomas Jefferson University in San Diego, California.
Renee Warden

Ms. Warden joined e.Digital’s board of directors in 2005, where she currently heads the company’s audit committee. Renee Warden joined the Company as Accounting Manager in 1991. In 1997 Ms. Warden was appointed Controller and Corporate Secretary for the company and in 2003 was promoted to Chief Accounting Officer and Secretary. From 1993 to 2003 Ms. Warden also held the positions of Chief Accounting Officer, Secretary and Director of Human Resources for American Technology Corporation. In May of 2005 Ms. Warden resigned from her position as chief accounting officer and corporate secretary to take a financial position with another company. Ms. Warden obtained a B.S. degree in business accounting from theUniversity of Phoenix in 1999.
Eric Polis.
Board Member
Eric Polis has been secretary and treasurer of ASI Technology Corporation, a publicly traded specialty finance company, since July 2000. He has been employed as anasset manager for privately held Davric Corporation since 1997. Mr. Polis is also a private investor and serves on the board of several Las Vegas non-profit organizations. He obtained a B.S. in Business Administration from the University of Arizona in 1993.
Robert Putnam

Mr. Putnam left the company effective Dec 15, 2010.
At the time of his departure, Mr. Putnam held 3,838,911 shares.
He is now full time at LRAD Corporation as the Media & Investor Releations contact.

Dr Nunally serves as Chief Executive Officer and Chairman of the Board of Nethercomm Corporation. Dr. Nunally has more than 20 years of entrepreneurial experience in semiconductor and embedded processor design. He led IBM's Wireless Patents Portfolio Development and headed the development of numerous wireless and transaction processing technologies for several companies. Dr. Nunally serves as Senior Vice President of Patents & Intellectual Property of Upaid Systems. ... He served as Chief Technical Officer and Vice President of Business Development of Patriot Scientific Corp. from June 2001 to May 2005. Prior to that, Dr. Nunally provided consulting services to Patriot Scientific Corp. since May 2000. From December 1998 to May 2000, he served as President and Chief Executive Officer of Intertech. From June 1998 to December 1998, he served as the President and Chief Executive Officer of Gruppe Telekom, Inc. From April 1996 to June 1998, he served as Chief Technical Officer and co-founder of Aristo, now PlayNet Inc. He served as Chief Engineer of PlayNet Technologies Inc. (Formerly Aristo International Corp.) since April 1996. Dr. Nunally Co founded and served as Vice President of Wave Interactive Network from January 1995 to April 1996 and served as its Executive Vice President of Engineering. From January 1994 to December 1994, he served as a Fellow of VLSI Technology Inc. From September 1992 to December 1993, Dr. Nunally served as Chief Executive Officer of Intellisys Automation, Inc. From December 1990 to September 1992, He served as Chief Executive Officer of E-Metrics, Inc. He also held other senior management positions with Interstate Electronics and Sensormatic Video Products Division. From August 1986 to February 1989, Dr. Nunally served as Director of Technology Application for General Dynamics Air Defense Systems. Dr. Nunally received his PhD in Electrical Engineering from the Pacific Western University in 1996, an MBA from the University of LaVerne in 1993 and a BS in Electrical and Electronics Engineering from California State Polytechnic University in 1987.

On January 26, 2011 MarDee Haring-Layton was appointed Principal Accounting Officer. Since July 2010 Ms. Haring-Layton, age 35, has been a part-time consulting accountant for the Company. Since January 2007 she has been a consultant with Resources Global Professionals, a multinational professional services firm. From October 2005 to December 2006 she was Corporate Audit Manager at Royale Energy, Inc. and previously was employed by Charlotte Russe, Inc. as Systems Control & Reporting Manager and Deloitte & Touche, LLP as an audit professional. Ms. Haring-Layton obtained a B.S. in Business Administration from San Diego State University in 2003.
