John....That footnote in the attorney letter is giving reference to the A/S reduction NOT to the O/S imo. remember Steve said both the A/S and the O/S were to be reduced by equal amounts but the A/S reduction is contingent on redomicile to Colorado..i.e. "Corporate events".
