To clarify my earlier post, I meant to say the 2 offers were for the JV and for the merger- and I think there is a real possibility that they are still in talks for the merger. I could see a couple of reasons why they might have mutually agreed it best for Amarantus to pull the offer. First, it may have been to allow the vote to occur for the Alpha funding without raising any questions amongst shareholders. Secondly, it may have been to eliminate any potential questions with Nasdaq while they are trying to regain compliance. Monday is the deadline and maybe having a merger offer out on the table could have brought up issues or raised questions. Certainly having the JV offer could have since it was directly addressing how it would help them regain compliance. I think if they still are in merger talks, they would need to wait until after they regain compliance with Nasdaq before doing anything. But that should be any day now.
MTSL is a pretty distressed company. They lost 1 million in the first half of this year and only had $680k cash in June. They bought an Israeli software company in 2015, Vexigo for up to $24 million, $4 million cash up front, stock and potentially more payments in the future:
