Merger
MTSL and/or Cutanogen raised a minimum $5,000,000 at the time of closing of the Merger.
MTSL shareholders (pre-JV) receive a minimum of 15% (468,102) of the then outstanding common shares following the merger.
Tender Offer
The Israeli Companies Law provides that an acquisition of shares in a public company must be made by means of a tender offer if as a result of the acquisition the purchaser would become a 25% or greater shareholder of the company.
