Next Games Corporation Company Release 17 May 2018 at 11.00 a.m. EEST
The annual general meeting of Next Games Corporation was held in Helsinki on 17 May 2018. The meeting approved the financial statements for the financial period ended 31 December 2017 and granted discharge from liability to all members of the board of directors and the managing director. In accordance with the proposal of the board of directors, the general meeting resolved not to distribute any dividend for the financial year ended 31 December 2017.
The board of directors, remuneration and the auditor
The number of members of the board of directors was confirmed as six. Petri Niemi, Joakim Achrén, Peter Levin, Jari Ovaskainen, Paul Rehrig and Philip Sanderson were re-elected members of the board of directors.
The general meeting approved a monthly compensation of EUR 4,500 for the chairman of the board of directors and EUR 2,500 for other members of the board of directors. In addition, a compensation of EUR 1,000 will be paid to the members of the audit committee and the remuneration committee for each committee meeting.
Authorized public accountants PricewaterhouseCoopers Oy was re-elected auditor of the company for the financial period ending on 31 December 2018. APA Tuomas Honkamäki continues to serve as the main responsible auditor of the company.
Authorization to decide on the issuance of shares and/or option rights entitling to shares for incentivization purposes
The general meeting authorized the board of directors to decide on the issuance of shares and/or option rights to entitling to shares for incentivization purposes. The authorization includes the right to decide on issuances of shares and/or option rights in deviation from the shareholders' pre-emptive rights (directed issue). The total number of shares in the Company may as a result of the authorization be increased by a maximum of 730,000 shares in the aggregate. The authorization is effective until 17 November 2019.
Authorization to decide on the issuance of shares for corporate and financing transactions as well as strategic partnerships
The general meeting authorized the board of directors to decide on the issuance of shares for corporate and financing transactions as well as strategic partnerships. The authorization includes the right to decide on issuances of shares in deviation from the shareholders' pre-emptive rights (directed issue). The number of shares issued based on the authorization shall not exceed 1,000,000 shares in the aggregate. The authorization is effective until 17 November 2019.
Resolutions of the board of directors of Next Games
At its constitutional meeting held after the general meeting, the board of directors appointed Petri Niemi as the chairman from among its members.
Petri Niemi was elected as chairman and Philip Sanderson as member of the audit committee. Petri Niemi and Philip Sanderson are independent of both the company and its significant shareholders.
