Ok here is my two cents on this 8K after thinking about it and digesting the whole thing!! I have bought and sold a few small businesses and more than a few homes in my lifetime!! All of those transactions required escrow as a good faith deposit on the part of the buyer and to my knowledge that is the practice 100% of the time in all sales transactions, no exceptions!!
Ok so here is the exception that I find absolutely unusual and very telling in this transaction and that is the fact that the escrow deposit in the amount of 1 million dollars was transferrrd to the seller before closing!!!! I have never heard of this happening before in any business deal of any kind and IMHO the fact that the escrow was released is an incredibly positive sign that this deal is going to happen short of any last minute issue as those mentioned in the 8K!! This was
not mentioned in the first 8K as a requirement of the closing so IMHO this was a good faith gesture on Tony's ( Baltias ) part and shows the deal is for real!
As for proof the funds to close the deal exist before closing you can't buy a 100,000 house in this country without proving to the lender/escrow agent that the funds exist to close the deal so that clause in the 8K or any business dealing is standard! The losers/bashers would have the weak among us to believe that this is a sign that US Global does not have the money to close the deal due to the mention of it in the 8K that is absolutely ludicrous!
If anyone knows of an instance where these conditions did not exist or where escrow was released before closing please correct me! All of the losers ( bashers ) can now move on to another stock there is no more money to be made here by anyone other than the longs! Of course you could join the group and ride this all the way to the bank! GO USGlobal - go Tony!!
