That was actually done because that was one of the demands of the fund. The activist fund had built a large investment over time (not on one day). This was in the news this week and I saw the interview with the head guy. He talked about how they had met multiple times with management to lay out their suggestions on increasing shareholder value. He stated he didn't know how responsive the BOD would be to all the issues he presented but said they had professional discussions and hoped they would do some of the main stuff.
Then Nestles was cited as saying something playing down how responsive they would be to a shareholder like this and their pressures on the BOD. This fund only owned about 1 1/2% of Nestles.
Then they announced the buyback program and Loeb was quick to talk about how they at least did that on his recommendation.
