(Nasdaq: AGIO ) today announced that it has issued an additional 757,575 shares of common stock at the public offering price of $49.50 per share, for total gross proceeds of approximately $37 million, pursuant to the exercise in full of the underwriters’ over-allotment option in connection with the company’s previously announced public offering of common stock. After giving effect to the full exercise of the over-allotment option, the total number of shares sold by Agios in the public offering was 5,808,080 shares and gross proceeds were approximately $287 million.
J.P. Morgan Securities LLC and Goldman, Sachs & Co. acted as joint book-running managers for the offering. Cowen and Company, LLC served as lead manager.
The shares were offered by Agios pursuant to an automatically effective shelf registration statement that was previously filed with the Securities and Exchange Commission (“SEC”).
