Number one reason for 750MM A/S is so mgmt doesn't have to keep coming back for more at a later date. Having Bank creates options for strong moves that can advance QMC. Squires mentioned strategic acquisitions - thats important. Another is conserving cash by using stock instead, pre revenue. Expansion and ramping up production, for another example.

Some think its too much but I think if you look at this in the context of what QMC is doing it is working the plan. Again, its important to have shares in the bank and available for any number of uses.

I know that shares added to outstanding dilutes value, but in QMC'S plan the shares will clear the books and then add to the company's value by their smart use. The moves made since January 1 are exciting and progress in the film area doubly so.

It is striking to look at the different paths QMC, Nanosys, Nanoco and QD Vision(RIP) took and where they are today. None have a lock on the display business today. QMC has had to work with much less resources but benefited from having superior technology and dedicated core personnel. If QMC is successful with their QD film, there will be a seismic shift in the industry. It is so competitive that display manufacturers change suppliers anytime they can see an advantage. Better materials at lower prices and a reliable supply are what they want

The difference between Nanoco and QMC is clear. Read their analyst briefing with their CEO Edelman and they are burning cash on 14 different projects while QMC is focused on accomplishing QD display business and bringing in revenue. Dow has not helped Nanoco, Osram is no longer around, and Merck has its QD nanorods from their purchase of the Israeli firm Qlight so the best I can say about Merck is that it's a double edged sword.

For all these reasons I support the proxy and trust the shares will be put to good use for the benefit of the shareholders.
