According to the PR this was a binding LOI between the company and Li....so by my read it was not something Rocky Mountain could just pull back, the option was there for Li to formalize the agreement or not...and it would appear they passed.
Maybe they think they can negotiate a better deal? Or maybe they've decided to pursue different options. Whatever the case I'm not expecting them to put out a PR detailing why they decided to pass up on the deal.
Regardless the LOI between Li and Rocky Mountain is now out of the fundamental picture as far as I'm concerned.
