The federal Reserve controls every single bank out there. That is why they pick and choose who gets to take over a distressed bank.
Company Executives usually have ways out of any mess. it's called Non-Indemnity(essentially ...at the least)........and you can find it in just about any SEC filing from a penny stock company to a blue chip.
There was nothing there beyond such clause....and again.....the FED has everyone by the balls...........
And so it goes........
