What would be considered a success JV for ESS. How much

What would be considered a success JV for ESS. How much money upfront? What is their share? Who the company is? etc...

Best case scenario: lots of money enough to see ESS through trials and beyond + pay down debt.

Worst case: very little money all earmarked only towards ESS.
