Lilis Energy, Inc. (OTCQB:LLEX) (the "Company", a domestic oil and gas exploration and production company currently focused in the Denver-Julesburg (DJ) Basin, announced today that it has entered into securities purchase agreements with qualified institutional and certain accredited investors for the private placement of 20,000 shares of its Series B 6.0% Convertible Preferred Stock (the "Preferred Stock" for gross proceeds of $20 million. Dividends shall be payable quarterly at 6.0% per annum, cumulative; payable on January 1, April 1, July 1, and October 1, beginning on July 1, 2016 and shall be payable in cash or kind at the option of the Company.

Lilis Energy, Inc. (NASDAQ:LLEX) announced today that it has signed a definitive agreement to merge with Brushy Resources, Inc. (Brushy) (a reporting but non-publicly traded company), a San Antonio-based oil and gas company with primary operations in the Permian Basin in West Texas. The total consideration paid in the transaction is comprised of the issuance of Lilis shares of common stock representing approximately 50% of the post-closing, common stock outstanding, and assuming and refinancing $13.55 million in debt (see Recapitalization Plan below). In addition, at the closing, Brushy will divest certain of its assets in South Texas to its subordinated lender in exchange for the extinguishment of $20.50 million in subordinated debt, payment of $500,000 in cash, and the issuance of a $1 million subordinated note.

Lilis Energy, Inc. (Nasdaq:LLEX) ("Lilis" or the "Company" announced today that it has amended its agreement, dated May 5, 2015, with a private party seller and agreed to acquire an additional 375 net acres from previously granted right of first refusal acreage, bringing the total undeveloped acreage being acquired to 1,015 net acres in the core area of the Wattenberg Field targeting the Niobrara and Codell formations. The additional acreage includes 11 authorization for expenditures ("AFE" in place with an average working interest of 4.48% and a total drilling commitment of $3.2 million. The other terms of the agreement remain the same: Lilis will acquire non-operated leasehold working interests including interests in 53 producing wells and a 640 net acre block ("Original Acquisition Acreage" of undeveloped leasehold for a purchase price of $5.5 million. To accommodate the updated terms, the closing of the acquisition has been extended and is anticipated to occur on or prior to June 19, 2015, subject to final due diligence and satisfaction of customary closing conditions.

Lilis Energy, Inc. (Nasdaq:LLEX) ("Lilis" or "the Company" announced today that it has entered into an agreement with a private party seller to acquire certain non-operated leasehold working interests including interests in 53 producing wells and a 640 gross (499 net) acre block of undeveloped leasehold for a purchase price of $5.5 million. All of the assets are located in the core area of the Wattenberg Field in Weld County, Colorado. If the transaction is consummated, the Company's acquisition would add, as of an agreed upon March 1, 2015 effective date, a pre-tax present value of estimated future net revenues discounted at 10% (PV 10%) of approximately $3.7 million of proved developed producing reserves ("PDP" and approximately $32.4 million total proved reserves, calculated using strip prices as of April 30, 2015. Following the closing, it is anticipated that the Company would pay an aggregate of approximately $1.6 million for its proportionate share of the ongoing cost of additional wells that are currently in varying stages of drilling and completion pursuant to outstanding authorizations for expenditure. The closing of the acquisition is anticipated to occur prior to June 1, 2015 subject to final due diligence and satisfaction of customary closing conditions. The purchase price is subject to pre and post-closing adjustments.
