Interesting.
Synder attached all of the documents that accuse Kahlon of buying large amounts of unregistered stock at a 40% discount and reselling them for a profit in violation of Section 5 (the requirement that you register shares before selling them).
That is a crime and he got busted.
Then he accuses Magna of doing the same thing. They didn't. At all. (At least in relation to AMBS.)
Magna, on the other hand, bought convertible preferred shares that let you convert the preferred shares at a 25% discount into registered common shares and sell them. As they are registered shares, there is no crime or violation of Section 5.
There is no crime or violation. Wish there was, but there isn't.
All above board and disclosed. Just like payday loans.
