Raising funds against unregistered shares and using that money for other purposes is "criminal" not just immoral. I heard they made good on those shares a month or few later after selling them. I've heard most received their shares but the CEO did not receive or take his. In my opinion that would alleviate any intentional or unintentional negligence and keep the SEC from sniffing too much. An individual(s) found guilty of such actions would serve time and would be heavily fined. The IRS would be brought in as well to see if there are any tax consequences/penalties.
I know because as I've mentioned before; I was a shareholder witness in the trial of James Turek, CEO of OTC stock PLNI. He is serving 18 years for securities fraud and tax evasion. I believe he became sick in prison so he might have been moved to a minimum security facility with a possible reduced sentence or the courts are currently considering those options. He was in his 70's when convicted back in 2010. I don't follow that one anymore.
The SEC should be all over the prior BOD and any subsequent fraud that might or might not have taken place. Innocent until proven guilty and these cases can take a couple years to form and gather evidence. I highly doubt a shareholder class action lawsuit would bring back any money and if so then pennies on the dollar. If the SEC has a case against any of them then we will hear about it via the media or if one has a subscription to PACER.
