They were issued to "Royal Capital" as restricted (as per NTEK disclosure), but entered the free float nevertheless. Why is that ?

I personally don't believe a buyout will happen.
Who would, and why ? 80% of UF content is upscaled HD, and thus fake 4K. No need for that, as 4K TV's can do that themselves, with just HD capable Internet connections. OK, maybe the UF image is better (though I don't trust those trailer screen shots comparisons from the pony board), but is it worth paying a premium for each and every title ?
Any Amazon or Netflix is capable of upscaling their HD content into 4K. No rocket science there.
Because of the famous secret "NTEK sauce" ? I honestly don't believe they can stream quality 4K at a connection speed lower than necessary for HD.
How many TV viewers don't even see/know the difference between SD and HD TV, and between HD and real 4K (not upscaled UF), only visible on a large TV, or close up?
There isn't enough native 4K content yet. Scanning legacy film into 4K is time consuming and thus expensive, so I don't see a lot of those films being treated that way, at least not in the near future.
I had hopes NTEK would take care of that and so become a real 4K player, but alas.
For the time being, I think the major streaming companies will stick to their HD, and will stream new, native 4K when it becomes available.

As for the proxy ? I would probably bet on a RS.
