The conversion is not capped at 4.99%. The amount that they can own and still convert is capped at 4.99%.
As long as they convert and instantly sell (which they are currently doing), they won't come close to owning 4.99%.
So that cap isn't relevant. It is only relevant if they want to convert and hold.
