$ ELRA. Yes Bloomberg showing Earnings on the 13th and Yes i look for this & the next 10q to really show all the different things that ELRA has worked on over this past year to really be paying off for the Company. All this up & downs of the pp,s has been good for the Company to pay down debt and its also been a ATM for most of the shareholders who were on top of thier investment IMO. 2015 is really going to be a Block Buster year for ELRA in every respect now that they will have Revenue coming in from the LOTTO & for the ones who Truely understood the 10/30/2014 8-K and know the New rules for how those shares work are Buyers of ELRA as they see that what many thought was 389 Million shares of Dilution was only Companies investing in ELRA at Dirt Cheap Prices. Thats why we have seen so many Big Blocks Buys recently and alot retail sellers have been giving up thier shares they got Dirt Cheap to those New Investers IMO. All this Volume is steady eating away at the Float which will be good for the retail who have held strong and been adding the dips for the Major News that ELRA Always puts out when they want it to Run up & the past few months has shown that over & over again. Its all been right there in plain sight for all to see. Long & Strong ELRA. GO > $$$$$$$$$$$$ ELRA

Up List or Not, i'm pretty sure some other Deep Pockets are on the SideLines because many institutional buyers cannot buy under a penny...
As soon as ELRA's PPS goes over a penny, we'll see some new MMs with Big Bids, imo...

Rule 144: That rule was changed lately by the SEC to allow those shares to be restricted for 6 months instead of 1 year like it used to be...

Major difference between Rule 505 and Rule 506 Here:
The company may sell its securities to an unlimited number of "accredited investors" and up to 35 other purchases. Unlike Rule 505, all non-accredited investors, either alone or with a purchaser representative, must be sophisticated—that is, they must have sufficient knowledge and experience in financial and business matters to make them capable of evaluating the merits and risks of the prospective investment.
In layman's term: It's like the difference between the Flag Football League and NFL...
Another Very Important Fact is:
Purchasers of securities offered pursuant to Rule 506 receive "restricted" securities, meaning that the securities cannot be sold for at least a year without registering them.
Rule 506 of Regulation D is considered a "safe harbor" for the private offering exemption of Section 4(a)(2) of the Securities Act. Companies relying on the Rule 506 exemption can raise an unlimited amount of money.

Making a move like that Uplist to the Naz or AMEX sounds like a winner to me. As this stock climbs there will be totally different MMs and frankly, a different kind of investor. Most large investment trusts and mutual funds can't invest in a stock below .25.
I bet when they get in .20 range they will do a 1:10 reverse split so they can up list. Just speculating.
