I have not looked into the number of preferred shares. The preferred shares have 300 times the voting power of the regular shares. That is the antitakeover mechanism.
Here are the facts, per the recent proxy filing:
1. The Series C Convertible Preferred Stock are the only preferred shares that have voting rights, with each share entitled to 300 votes of common stock.
2. There are 750,000 shares of Series C Convertible Preferred Stock issued and outstanding.
3. 750,000 x 300 = 225,000,000 votes
Conclusion from proper analysis (which is essentially understanding that 1 Billion is a lot bigger than 225 Million):
The additional 1 Billion authorized shares will be far more effective in protecting the company from takeover than the preferred shares, even with their super voting rights.
