I've already voted my shares in approval of the increase in AS. I don't need to see major things unfold prior to the SHM in order to remain confident in the direction this company is heading.

There are strong indications one of the divisions will be spun off into a separate entity. The increase in AS will allow that.

Again, we need protection from a hostile takeover. As more data is generated from our assets, this becomes more of a threat, especially at the current share price. The increase in AS will offer that protection if needed.

Does the increase in AS introduce the possibility of more dilution? YES, that possibility is there. But with a joint checking account there's the possibility your spouse will become irresponsible and overdraft the account. You can't have the benefits without the risk. If the risk of someone not in your control behaving irresponsibly keeps you awake at night, then you should follow your conscience and vote NO.

I suspect if the AS isn't approved, at some point some here will be raising concerns about why the spinoff hasn't occurred, after Gerald spoke of it a number of times. And if another company attempts a hostile takeover, Gerald will be blamed for not having measures in place to protect shareholders.

I don't see my YES vote as giving management a free pass. There has to be some level of trust involved in any investment. If the AS increase is approved and management starts to act irresponsibly with their "free pass" by excessively diluting shareholders, then the shareholders have the option to sell and move on.

Mutual funds are always an investment option. I suspect using such an investment vehicle would allow some to worry a great deal less about the uncertainties of their investment than investing in a pre-revenue biotech company.
