First, there is NO WAY you can guarantee anything about how most retail shareholders will vote. Most shareholders don't share your opinion that management sucks, and that assessment is based on how very few posts we see making that claim. While it might be your opinion the votes for the increase will be lacking, making the statement you GUARANTEE it is ridiculous.
If you truly believe management sucks, why are you still a shareholder, and if you're not a shareholder, why would you care how anyone votes? Seriously, this is not an attack on you, but many of us would like to know what kind of a moron would continue to hold shares in a company where they believe management sucks as you believe?
Second, you are seriously misinformed if you believe preferred shareholders can control the vote without retail shareholder input. I have already proven this with shareholder data provided in the proxy filing. Perhaps you should review it and learn how many common share votes will be needed from the retail shareholder to approve the AS increase. Only one class of preferred shares have any voting rights, and these were disclosed in the proxy filing. The rest is basic math, already covered in a post I made almost two weeks ago:
