Are suggesting that the calculation period would be done in 5 days after the trigger date?
CORRECT. Congratulations.
Please show us where it says this/how the new terms (which will ONLY take effect IF the "trigger date" ever does arrive), mean the calculation period will end 5 days after the trigger date.
and I'd also love to see the calculations for how they will only get 381M more shares, or how they will be required to return 435M shares...
Quote:
Shares issued to them to date + (x)
x = $2,287,000 ./. 80% (trigger price) minus 0,002
trigger price = 0.01 at minimum, maximum avg of VWAP 5 days after settlement date but before calculation date.
x = $2,287,000/ 0,006 = 381.16 million shares MAXIMUM, fixed at 1c and if the VWAP is higher then they'd get less
Total shares issued to Ironridge = 1,12 billion + 381 million.
It says NOTHING about it being "fixed at 1¢"

What will most likely happen at the end of the calculation period is that the initial issuance of 435 million shares will be returned to MTVX.
You betcha... I've heard these STORIES before...
I'm sure I read where you wrote that it was denied. You had just as long a post as this. Yet were totally wrong.
$MTVX

Didn't you say a bit ago that it was denied? How do expect to stay credible and be "believed"?
That would be an emphatic... No.

Is the Ironridge dilution deal still in force?
Go $MTVX
Are these the AWESOME new terms???
but, but, but, WHERE does it say IronRidge can not receive any more shares until MTVX hits a penny?
WHERE does it say anything about ANY kind of a "pause"?
WHERE does it says the calculation period will end 5 days after the trigger date?
WHERE does it say anything about IronRidge returning shares?
WHAT IT DOES SAY IS "Defendant has previously issued 1,120,000,000 shares of its common stock to Plaintiff under the Prior Order, and currently owes considerably more additional shares."
"Defendant acknowledges and agrees that: (a)all calculations and Additional Issuances requests provided by Plaintiff to date are accurate and correct in all respects"
"
Sure doesn't sound like any "pause" in the dilution!!!
The only changes are
1. they agree to "enter into the subordination agreement requested by the Defendant"
and 2. IF at any time between the date of this agreement and the END of the calculation period, the pps gets to .01, then they replace the second sentence of paragraph 7 of the Prior Order...
and ALL it does is reset the 5 days, to the average of the 5 lowest between the "trigger date" and the end of the calculation period....less .002 per share, and multiplied by .80 (80%)
They STILL keep all the shares received BEFORE the "trigger date"...
That would be these "1,120,000,000 shares of its common stock to Plaintiff under the Prior Order, and currently owes considerably more additional shares."
But I know no one will believe this...so lets just wait for the AWESOME list of share issuances in the Q's to prove it...
WHC Capital LLC (aka.Whalehaven)=another TOXIC FINANCIER???
