Spin-off and Share Count

Hello all! Fellow AMBS long here (123k shares and will be picking up more as funds become available) had a quick question. What will happen with my 123k shares if there is in fact a spin-off? Being a rather green investor, I have no experience in spin-offs. Thanks.
