Re-read the recent blog this morning. GC called out the spin-out in the same bulleted thought as the partnership. I think the spin out is a very real possibility around that time otherwise he would likely not have combined his thoughts on these two efforts. The extra 1B potentially authorized shares was a shock but my bet is that it is to support a spin out and uplist.
