CWRN/PanAm are public -so KMG, being a dividend and holding stock of such, would be also- and Brad was going to file w NVSOS to make it so-but reorganization taking longer than expected-and at the time of the PR they probably expected resolution of the TX case before such filing -but such case kept getting delayed as we all know
imo the following are the only logical reasons for creating new CWRN sub KMG in absence of further info
1). Put his and his spanish ethnic naturalized Mex wife-who may be indigenous and holds title to Navial land under previous Mex law re foreign ownership- personal stamp on things- Kiliwa is the name of a previous indigenous group in the Ensenada area, and his wife, as per my dd, signed a community Ensenada newsletter, along w ca 90 others
2). without waiting for the formation of another mine to execute such personal stamp
Co's create subs for accounting and legal purposes for separate projects-e.g. if Bob had opened a new mine he would create a new sub for accounting and legal purposes
so if Brad wanted to start another mine under the CWRN parenthood he could do so by creating this new KMG sub for the PanAm mine, and then possibly use the PanAm legal structure as sub for a later new mine without waiting for the formation of another mine to execute such personal stamp
The May 2013 PR was confusing in many ways and was rapidly written- e.g., there were no suits against CWRN for accounts payable and the suits(s) alluded to were re the port holding CWRN ore hostage -a suit CWRN won- thats why 68069 tons shipped on the Ilia May 2013 , and re illegal things Geo allegedly did- and Bobs CWRN just won their suit re Geo in TX and the CA case is Bob et. al.'s complaints against Geo
the wording re Kmg and the dividend etc was also confusing, as seen from the many posts re such and to this day- when the PR came out -
a white knight PR-and Brad may be entitled to that status, given CWRN's financial problems resulting from Geos allegedly withholding millions and all the other Mex govt etc political election problems- july 2012 mex pres election was appealed to mex supreme court -freezing permits at that time etc- permit games blocking the shipment of fert at that time etc
but we are waiting to see what Brad does re selling what should be scores of millions of inventory=from previous info from Bobs CWRN
