A 13G must be filed within 10 days after 5% ownership is reached and only if the owner of shares will not be trying to influence or control the company. A 13D must be filed within 5 days after 10% is reached. The only exemption is a 13D needn't be filed for unregistered securities at 10% but a 13G must still be filed. Just ask Elon Musk who is facing a $150 million dollar fine for late filing on Twitter stock.
