The binding arbitration is with Amarex and the arbiter will decide on what culpability Amarex holds and any amount which may be owed. Since the agreement between Amarex and Cytodyn predates Amarex's acquisition by NSF the arbiter will not be deciding whether or not NSF holds any financial responsibility. That would seem to be for a court of law.
