I've never quite understood this either - years ago I worked for AlliedSignal (currently Honeywell) and we bought Bendix. As part of that acquisition, we/AlliedSignal also inherited all of Bendix' asbestos liability, which AlliedSignal ended up paying for in a significant way.
Admittedly, IANAL, and perhaps there is there is something in the acquisition terms that negates this liability, but I have a difficult time understanding that a company with potential legal liability can simply sell themselves and somehow by that transaction the potential plaintiffs of that legal action lose or are limited in their rights and the acquiring business is relieved of that liability.
