Thompson and company took over Olaregen some time ago but they knew the manner this took place was shaky and questionable imo.
They engaged an investment banker to seek funding and advice. The plan was to create a special purpose vehicle to raise funds, generate revs and execute their VA strategy in.
But why an spv?
Considering the mess gnbt was in, this was done out of concern there was no clear path, regardless of what JM or anyone else signed off on, to take clear control of Olaregen.
The crew at Olaregen (the former gnbt crew) must have had concerns a straight up deal (gnbt and Ola) may not survive scrutiny so enter the spv which also served a purpose to offer a layer of protection for potential investors.
I havent read any of the BK so this may be old news
