Sounds like filing is not a priority - i can understand their financial constraints leading to the very unusual idea of filing only w the SEC and not with the OTC.MARKETS.COM -otc. If they dont file w OTC they will lose many benefits which I've detailed over the years. Most investors will not find them if they dont file w OTC.

Never dealt w that strange situation before. They dont want to be what in the trade is known as an SEC reporting company because that is vastly more expensive- 8k's plus often 50-100pp 10Q's and audited 10k's etc and much closer governmental inspection/accountability etc and tight reporting constraints.

Since I've never seen their plan carried out before I'm not sure they can file only w the SEC if they only upgrade to pink current without being SEC reporting- as that phrase is used in the trade. Some of the info required of companies under the new rule is required through the OTCIQ form I've displayed on this board. Whether the SEC has a parallel OTCIQ form i dont know.

This is the 3rd large scale attack against low penny companies since 2010-i've detailed the other attacks and the documented political motivation behind those attacks on multiple stock boards and stocks.
