In making their erroneous calculations, I think they are making the erroneous assumption that those that voted against any of the directors/officers and against the compensation plan last time, will vote against current management this time and vote for the 13D group instead.
But, this is not a valid assumption.
Just for the record, although I can't remember my votes exactly anymore, I did not vote straight management last time, but as it stands this time, I will be voting straight management this time. So, they should remove my shares from those that they think will vote them in. Also, I have about double the shares now that I had last vote, so those shares/votes, too, will not be going 13D.
