I feel like I need to respond to your soft bashing again.
I agree, no dark non reporting company can up list while they are dark. I also think most all who play penny stocks know very few can qualify financially. I also think anyone who owns UNVC realizes we are the one in a hundred or should probably say one in a thousand OTC stocks.
I am not sure we have to file an S-1 because we are not an IPO and we are not trying to raise capital. Can any form required be filed at the same time as the financials and 8k, good question.
I know you spent some time researching your 2% "downer" but I bet I spent less time getting a direct answer, on the phone, from a very nice lady at Nasdaq. She gave me her full name and direct phone number too. I asked her can a "dark 15-12g non reporting OTC pink" stock apply to the Nasdaq or do we have to get current first. She said yes, Doc can apply to Nasdaq while dark and she said Nasdaq recommends the company also applies to the SEC at the same time as they both take about the same time for approvals. She made it clear the company would have to be SEC/Edgar current and meet the financial qualifications to come up to Nasdaq.
You and most of the rest of us know why you couldn't find a "dark non reporting" OTC stock that ever got up listed and that is because they are run by outright crooks, scam artists, shady or simply could not run a lemonade stand. So is anyone surprised, NOT.
