Hi Buildit - I see your point, but the way I looked at is this way...NGIO has 400M issued and outstanding...to be listed on NASDAQ, you need at least $2 per share, so that's $800M right there...and I don't think they will do $2 per share...that can cause possible NASDAQ delisting if the PPS falls under $1 for a while...so, I think to be safe, the starting PPS would be at least $3...just my thought...
Also, if I were OASIS, I am willing to invest $50 million...and the % limit is 4.99%...if I think NGIO is only valued at $400 million, why would I say I'd like to invest up to $50 million...that's 12.5%...
I know the $1 billion value is extrapolated, but I think $1 billion is not too far off...
Also, I am guessing the stock purchase might be restricted for a period of time...

I’m not sure we can extrapolate a value yet as you did in your post...
I believe the <5% is to make sure they can’t accumulate too large of a position and take over or unduly influence the management of the company.
MADE UP NUMBERS FOR DISCUSSION ONLY... But imagine if the Mkt Cap of NGIO was at $400MM and Joe had already put $20MM to Oasis. That would max out the puts until they sold some on the open market. But the $50MM limit would not have been reached, and the value would not be at $1B.
I believe we will have to wait until the shares are trading to really start to understand where the market sees the value. Whatever happens, we can assume Joe has info that leads him to believe the NAZ is in reach... as must Oasis...
It will be VERY interesting to see what this does to GNBT SP tomorrow...
