Yes, I was off base. I was just re-reading this all in the context of our restricted sales discussion.
I can't find anything by searching the S-1 for words like "months", "restricted", "sell", etc. that would indicate any delay in the sales by Oasis. Of course, you would think they might wait a bit to sell if the price is rising at the time. But hopefully they would sell enough to keep Joe with some funds available.
And, yes, the Discover is purely a Note payment, not shares.
So the total new shares after the 1MM+ deposit shares would be $39.5MM/~14.3MM new shares. Implied avg share price ~$2.76 if all those shares were issued.
