Yes, doc, MMPJOE said that very clearly during the most recent CC. The shell was acquired, but in the meantime they have decided not to pursue the merger into that "vehicle" and then uplist that to Nasdaq route anymore.
Joe clearly stated during the CC and confirmed it as answer to a question some of the callers asked, that they have decided otherwise and are now spinning it out in an IPO directly to Nasdaq.
There was no mention about which company they have acquired and how much they paid for that. It could still become useful in the future, in case they are looking into the next company to spin off, be it Olaregen or one day AltuCell or whatever is successful enough to be run as well as an individual entity.
